1. Scope of Work
The Consultant agrees to provide recruitment and staffing services including sourcing, screening, and submitting qualified candidates for client requirements.
2. Independent Contractor
The Consultant is an independent contractor and not an employee of the company. The Consultant is responsible for their own taxes, expenses, and legal compliance.
3. Candidate Submission
Consultants must submit only genuine and verified candidates. Duplicate or fake submissions are strictly prohibited. All resumes must include candidate consent.
4. Confidentiality
All client information, job requirements, and company data must remain confidential and must not be shared with third parties without written approval.
5. Non Solicitation
Consultants shall not approach or solicit company clients or employees for business or employment during the contract period and for 12 months after termination.
6. Payment Terms
Payment will be made only after successful candidate placement and receipt of payment from the client. Standard payment cycle: Net 30–45 days after invoice submission.
7. Replacement Policy
If a placed candidate leaves within 30–60 days, the consultant must provide a replacement candidate at no additional cost.
8. Compliance
The consultant must follow all U.S. employment laws, immigration rules, and E-Verify compliance when submitting candidates.
9. Termination
Either party may terminate the agreement with 15 days written notice.
10. Governing Law
This agreement shall be governed by the laws of the United States and the state where the company is registered.
